Establishment of Corporate Governance Officer

On August 18, 2023, the Board of Directors of the Company, established the position of Corporate Governance Officer and appointed Mr. Wang Yi-chi, currently serving as Legal & Compliance AVP of the company, to assume the role. Mr. Wang is a qualified lawyer with a license issued in the Republic of China."

Role and Responsibility

The Corporate Governance Officer is responsible for providing the information required for the directors to carry out their duties, assisting directors in compliance with laws and regulations, facilitating directors' induction and continuous education, conducting matters related to the meetings of the Board of Directors and shareholders' meetings in accordance with the law, and reporting on the execution of corporate governance tasks for the fiscal year. The role aims to safeguard shareholder rights and strengthen the functions of the Board of Directors.

Intellectual property management

KKBOX is the world's first authorized music streaming platform, and has accumulated many years of experience in the management of licensed works, and has established an intellectual property management system for the acquisition, maintenance and use of intellectual property by the Company and its subsidiaries in accordance with the requirements of relevant laws and regulations on intellectual property, so as to protect the rights and interests of the Company and avoid infringing on the rights of others.

Patent management

1. The legal department assists the business unit in the preparation and management of rights documents.
2. The dedicated unit and the business unit will work together to formulate the patent layout policy, and hire professional patent firms at home and abroad to assist in patent search and submit intellectual property application documents.
3. Patent application, maintenance and elimination process through the legal department.

Trademark management

1. The legal department assists the business unit in the preparation and management of rights documents.
2. The legal department assists in identifying the intellectual property laws and regulations of various overseas regions, formulates registration and protection specifications, and engages professional trademark firms at home and abroad to conduct trademark searches and applications in advance according to the business layout.
3. Each user shall use the approved trademark in accordance with its internal policies and procedures and keep evidence of use.
4. Handle the trademark application, maintenance and elimination process through the legal department.

Trade secret management

1. The legal department assists the business unit in the preparation and management of rights documents.
2. The information security department is responsible for the introduction and implementation of the ISO27001 information security management system, and the implementation of electronic and paper document control.
3. Confidentiality clauses are clearly stipulated in the cooperation agreement between the company and the company, and confidential information of the company shall not be arbitrarily disclosed.

Copyright management

1. The dedicated department shall negotiate and sign the copyright authorization, establish and improve the background system and formulate the management measures for loading and unloading the shelves, and confirm that the authorized crops are legally used in accordance with the authorized time and region.
2. Introduce ISO5230 and ISO27001 systems to effectively manage software code and information security.
3. Regularly review owned and authorized copyrights, and establish a whistleblowing system to improve the legal use of copyrights.
4. Through policies and contracts, we can effectively control the access rights of internal colleagues and external vendors.

Implementation in 2023

1. The ISO 5230 and ISO 27001 re-certifications have been successfully completed.
2. Handling of intellectual property education and training continuously.
3. Manage the sound recordings and music works of more than 100 million songs, and sign contracts with major collective management groups to obtain the rights of public transmission.
